1. Agreement to These Terms
These Terms of Service (“Terms”) govern your access to and use of the Craft Stock Studio website, application, subscriptions, and related services (collectively, the “Service”). The Service is provided by Craftproof LLC d/b/a Craft Stock Studio (“Craft Stock Studio,” “we,” “us,” or “our”).
By creating an account, starting a subscription, clicking to accept these Terms, or accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be at least 18 years old and able to enter into a binding contract to create an account or purchase a subscription. You are responsible for providing accurate account information, keeping it current, and safeguarding your login credentials. You are responsible for activity that occurs through your account and must promptly notify us if you believe your account has been accessed without authorization.
The Service is intended for individual makers and businesses. You may not share account access, resell access to the Service, or allow another person to use your account except as expressly permitted by us in writing.
3. Subscriptions, Billing, and Cancellation
Craft Stock Studio is a paid subscription service. Available subscription plans, prices, billing intervals, and renewal terms are presented at checkout or within the Service before you complete a purchase. By starting a paid subscription, you authorize the applicable payment processor to charge your selected payment method for the initial charge and recurring renewal charges until you cancel, subject to the terms presented at checkout and applicable law.
You may cancel your subscription through the billing controls available in your Craft Stock Studio account. Cancellation stops future renewal charges, and you will ordinarily retain access through the end of your current paid billing period unless we tell you otherwise at the time of cancellation.

4. License to Use the Service
Subject to these Terms and timely payment of applicable fees, Craft Stock Studio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your own internal business or personal crafting operations.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent a restriction is prohibited by applicable law. We reserve all rights not expressly granted to you.
5. Your Content and Data
You retain ownership of the content and data you submit to the Service, including business information, inventory records, product information, customer information, designs, quotes, and related materials (“Your Content”). You are responsible for ensuring that you have all rights, permissions, and lawful bases needed to submit and use Your Content through the Service.
You grant Craft Stock Studio a limited, non-exclusive, worldwide right to host, store, reproduce, process, transmit, display, and use Your Content only as reasonably necessary to operate, secure, support, maintain, and improve the Service; to comply with law; and to enforce these Terms. This license ends when Your Content is removed from the Service, except to the extent retention is reasonably necessary for backups, security, legal compliance, dispute resolution, or records that cannot feasibly be removed immediately.
You must not submit payment-card information, passwords, API keys, or other sensitive credentials in ordinary text fields, support requests, designs, notes, or attachments unless a secure, purpose-specific field expressly requests that information.
6. Acceptable Use
You may use the Service only lawfully and in accordance with these Terms. You must not, and must not attempt to:
- use the Service for fraud, unlawful activity, harassment, deception, or infringement of another person’s rights;
- upload, process, or distribute content that you do not have the right to use;
- interfere with, disrupt, probe, scan, test, bypass, or compromise the Service, its security controls, or another user’s account or data;
- introduce malware, harmful code, or excessive automated traffic;
- scrape, harvest, or collect data from the Service except through functionality we expressly make available;
- circumvent subscription, access, rate-limit, security, or payment controls;
- resell, rent, lease, sublicense, or commercially exploit access to the Service without our written permission; or
- use the Service in a way that could damage, disable, overburden, or impair it.
We may investigate suspected violations and suspend or terminate access as described below.
7. Intellectual Property
The Service, including its software, workflows, interface, content, branding, logos, documentation, and underlying technology, is owned by Craft Stock Studio or its licensors and is protected by applicable intellectual-property laws. Except for Your Content and the limited license granted to you in these Terms, no rights are transferred to you.
“Craftproof,” “Craft Stock Studio,” and associated logos and marks may not be used without our prior written permission.
8. Third-Party Services
The Service may use or link to third-party services, including payment processors such as Stripe. Your use of third-party services is subject to their own terms, policies, and practices. Craft Stock Studio does not control and is not responsible for third-party services, except as required by applicable law.
9. Availability, Maintenance, and Changes
We aim to provide a dependable Service, but we do not guarantee that it will be uninterrupted, error-free, secure at all times, or available on every device, network, or location. The Service may be unavailable or impaired because of maintenance, updates, technical issues, third-party outages, security events, or circumstances outside our reasonable control.
We may update, modify, suspend, or discontinue features of the Service. When reasonably practical, we will try to provide notice of material changes that significantly affect your use of a paid subscription. We do not provide a service-level agreement or uptime commitment under these Terms.
10. Your Business Decisions and Data Responsibility
Craft Stock Studio is a software tool. It may help you organize information and estimate costs, prices, margins, inventory needs, and business workflows, but it does not provide financial, tax, legal, accounting, insurance, or business advice.
You are responsible for reviewing the information you enter and for your own pricing, production, inventory, tax, customer, purchasing, fulfillment, and business decisions. You are also responsible for maintaining appropriate records and backups for your business. We recommend exporting or retaining information you need before cancelling or closing your account.
We do not guarantee sales, profits, cost savings, business growth, inventory accuracy, pricing accuracy, or any particular financial or business outcome.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CRAFT STOCK STUDIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRAFT STOCK STUDIO, CRAFTPROOF LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, CUSTOMER DISPUTES, TAX OBLIGATIONS, OR ERRORS IN DATA ENTRY, INVENTORY, PRICING, OR BUSINESS DECISIONS ARISING OUT OF OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO CRAFT STOCK STUDIO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
13. Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Craft Stock Studio, Craftproof LLC, and their owners, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of another person’s rights or applicable law.
14. Suspension and Termination
We may suspend or terminate your access to the Service if you fail to pay applicable fees, breach these Terms, engage in fraud or unlawful conduct, create a security or legal risk, or use the Service in a manner that could harm Craft Stock Studio, its users, or third parties.
You may stop using the Service at any time and may cancel your subscription through your account’s billing controls. On termination or cancellation, your right to access the Service will end when your applicable access period ends or earlier if we terminate access for cause or approve a refund under the Refund Policy.
We are not required to retain Your Content indefinitely after cancellation or termination. Before cancelling, closing an account, or requesting a refund, you should export or retain information you need.
15. Governing Law and Courts
These Terms and any dispute arising out of or related to the Service are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service must be brought exclusively in a state or federal court located in Texas that has jurisdiction over the dispute. You and Craft Stock Studio consent to the personal jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted with a revised “Last updated” date. Changes apply prospectively unless applicable law requires otherwise. If a change materially affects your rights or obligations, we will provide notice when reasonably practical. Your continued use of the Service after updated Terms take effect means you accept the updated Terms.
17. Electronic Communications
You agree that we may provide notices and other communications electronically, including through the Service, your account, the email address associated with your account, or the website. You agree that electronic notices satisfy any legal communication requirement to the extent permitted by applicable law.
18. Miscellaneous
These Terms, together with the Refund Policy and Privacy Policy, form the entire agreement between you and Craft Stock Studio regarding the Service, except for any separate written agreement signed by Craftproof LLC.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.
